Braze rose 52% because Salesforce agreed to buy it

Braze recent price and volume

Braze rose because Salesforce agreed to acquire it. According to an 8-K (a current report of major events) filed with the U.S. Securities and Exchange Commission, with items 1.01, 8.01 and 9.01, Braze signed a merger agreement with Salesforce on Oct. 19, and its board approved it unanimously. Each Class A share converts into $47.50 in cash. The stock closed at $45.57, up 51.7% from $30.04, and the offer price is about 58% above the prior close. The Motley Fool and Digital Today put the deal at $5.66 billion.

The close sits $1.93, or about 4.2%, below the offer price, which may reflect that the deal is subject to conditions; the 8-K says it proceeds on the terms and conditions in the agreement. Dollar volume was about $2.9 billion, more than half the roughly $5.2 billion market value. A Form 144 notice of a planned insider sale was also filed the same day, and Stock Titan's headline said an officer proposed selling 285,000 shares; the timing and reason are not known. Two merger-related DEFA14A proxy materials were filed too.

The news is substantive because it is written into a signed agreement, but it is closer to one-time, since the price is now fixed. The stock has entered a range tied to $47.50. What matters now is the shareholder vote and regulatory approvals, and whether the gap to $47.50 narrows. A widening gap would suggest the market doubts the deal will close.

Lionsgate Studios rose 14% on a takeover-offer report (no company statement)

Lionsgate Studios recent price and volume

Lionsgate Studios (LION) rose because Legendary Entertainment reportedly made a takeover offer. It gained 14.4% to close at $12.15. Seeking Alpha, citing Bloomberg, and Barron's reported the Legendary offer, and Yahoo Finance described it as an offer for the studio behind The Hunger Games. No filing has appeared on SEC EDGAR in the past week, and the headlines give no offer price or terms. We could not verify the report ourselves.

A reported offer is an expectation, not a deal. The stock had traded between about $10.70 and $11.50 since mid-September and left that range in one day, on about $170 million in trading against a market value of about $3.6 billion. If the offer does not become an agreement, the gain could fade. Watch whether the company or Legendary confirms the offer, and whether an 8-K or press release states a price.

SELLAS Life Sciences rose 14% on data headlines, with no filing

SELLAS Life Sciences recent price and volume

SELLAS Life Sciences (SLS) rose 14.2% to $11.98 with no company filing behind it. Retail-focused outlets such as StocksToTrade and Timothy Sykes ran pieces on new SLS009 data, and Stocktwits relayed retail talk of a buyout. But the company has filed no 8-K, so the data cannot be confirmed from filings, and no company or counterparty has confirmed any buyout.

The stock had fallen 12% the previous session, so the two-day gain is 20%. The close is above the Oct. 15 close of $11.34 but below the $12.41 of Oct. 13. Dollar volume was about $120 million. With only headline-level support, we treat this as an expectation. Watch whether the company discloses the SLS009 data itself in an 8-K or press release, and whether trading volume holds on the next session.
