Seoul — MaxLinear (MXL) rose 14.99% to close at $105.93 on Friday, Oct. 2, on reports of its Puma 9 broadband platform, but the company filed nothing with the SEC. Two other chip stocks rose almost as much: Synaptics (SYNA), up 14.08%, has an 8-K behind its move, while ChipMOS (IMOS), up 14.61%, has no filing and no reported reason. The S&P 500 rose 0.73%, the Nasdaq Composite 1.19% and the Russell 2000 0.94%. (As of 7:30 a.m. KST on Oct. 3)

Synaptics rose 14% after onsemi rewrote the merger agreement

Synaptics closed at $121.10 after it signed an amended merger agreement with onsemi. An 8-K filed with the U.S. Securities and Exchange Commission on Oct. 1, with items 1.01 (material agreement), 7.01 and 9.01, describes an Amended and Restated Merger Agreement that replaces the deal dated June 25. According to the filing, it was reached after negotiations that began with an unsolicited, non-binding proposal on Sept. 2 from a strategic party called "Party A." Media outlets reported that onsemi raised its all-cash terms, and a Yahoo summary citing BofA put the acquisition at $5.7 billion.

Dollar volume was about $928.4 million, roughly 19% of the company's $4.8 billion market value and the heaviest turnover of the three. The stock gained 19.4% over two days. Still, a stock under a fixed buyout price tends to trade near that price, so this looks like a one-time repricing. Law firm Halper Sadeh said it is investigating whether shareholders get a fair price, but that is a client-seeking notice, not a company statement.

Whether the move holds depends on the merger process. Watch for the shareholder vote date and closing conditions after the DEFA14A (proxy solicitation) filings of Oct. 1 and 2, and for how onsemi's S-4 updates describe Party A's proposal.

MaxLinear closed at $105.93, up 14.99%, as timothysykes.com, StocksToTrade and TipRanks tied the move to the unveiling of its Puma 9 broadband platform, and Seeking Alpha cited an infrastructure and data-center focus. The company has filed no SEC documents in the past seven days. The headlines confirm a product launch, not a contract or any revenue figure.

The stock was already extended: it is up 71.6% from $61.73 on Aug. 28 and 12.9% over five sessions. Dollar volume was about $504.3 million, a little over 5% of its $9.6 billion market value. Swings are large; on Sept. 14 it fell 13.12% in one day. The Globe and Mail put last month's gain at 50.7%.

The question is whether the product turns into sales. Watch whether the company confirms Puma 9 in an 8-K or press release, and whether dollar volume stays near $500 million on Monday.

ChipMOS rose for no known reason

ChipMOS closed at $83.30, up 14.61%, and no explanation has surfaced. It filed nothing on the day; the closest document is a Sept. 29 6-K (the form foreign companies use), titled as financial information. No report explains the move either. On Friday evening Korea time, TipRanks ran a piece titled "Why ChipMOS Stock Is Dropping Despite AI Boom," yet the stock closed sharply higher. Benzinga's list of Friday's gainers does not name it.

The stock is up 50.2% from Aug. 28 and 16.0% over five sessions, after an 11.27% jump on Sept. 18. Dollar volume was only about $21.5 million, 0.7% of its $2.9 billion market value, far thinner than the other two. A modest amount of trading moved the price a long way.

Watch whether the company explains the move or it proves to be part of a sector-wide rise, and whether dollar volume rises on the next session if the gain holds.
