Glaukos Corporation (GKOS) rose 34% on a Q3 beat and raised guidance

Glaukos Corporation recent price and volume

The eye-care device maker closed up 33.65% at $242.48 after third-quarter results beat expectations and guidance went up. In an 8-K (a current report filed with the U.S. Securities and Exchange Commission), Glaukos Corporation said on Oct. 28 it issued an earnings press release (Item 2.02) and a quarterly summary (Item 7.01), and it filed its 10-Q the same day. The 8-K text itself only says those documents are attached. The "beat" and "raised guidance" come from headlines: marketscreener.com ("Shares Rise After Q3 Beat, Guidance Raised") and Barron's ("Surging 30% ... After Earnings"). Yahoo Finance's headline cites a $1 billion 2027 sales goal, and whether that figure appears in the filing is not confirmed.

The catalyst is substantive, and with revenue growth of 49.5% it may be more than a one-quarter event. But the company is not yet profitable, and the move was large: market value is now about $14.3 billion, and the close is 7.3% above the $226 Wells Fargo target (raised, per a GuruFocus headline).

On the overheating check, three of four signals are on: RSI(14) is 92.9, the price is 39.5% above its 20-day average, and the 5-day gain is 37.2%. Volume was 5.0 times the 20-day average. The stock is 72.2% above its 200-day line and at its 52-week high. It passes 3 of 6 fundamental checks (free cash flow, debt ratio and revenue growth pass; profit, ROE and PER do not). This is context, not a buy or sell signal.

To judge whether the rally holds, read the 10-Q and Exhibit 99.1 for which products drove growth and how much guidance rose. Also watch whether dollar volume stays near $1.3 billion the next day, and whether other brokers raise targets toward a close that already tops Wells Fargo's.

ADT Inc. (ADT) rose 33% on a reported $10-a-share cash buyout (no merger 8-K yet)

ADT Inc. recent price and volume

The home-security company closed up 33.2% at $9.87 after reports that Abode Parent, an acquisition vehicle of OpenAI-backed Thrive Holdings, agreed to buy it for $10 a share in cash. Yahoo Finance, StreetInsider and Kalkine Media carried the news. Headlines disagree on deal size, $15.3 billion in some and $7.6 billion in others. The latter fits the roughly $7.2 billion market value at the close, but the headlines alone do not say what each figure measures.

There is no 8-K among the past seven days of filings. Eight DEFA14A forms (additional proxy soliciting material) were filed on Oct. 29, but their text is not available, so we cannot say whether they contain deal terms. The agreement rests on press reports, and the filings show only that merger-related materials went in that day. The stock also rose 7.86% on Oct. 28, so the two-day gain is 43.7%.

The catalyst is substantive but one-time. With the price fixed at $10 and the close already within 1.3% of it, further upside would need a higher bid. All four overheating signals are on: RSI 92.6, 44.5% above the 20-day average, volume 22.2 times normal, and a 5-day gain of 41.2%. It passes 5 of 6 fundamental checks (only the debt ratio fails; PER 13.5), but earnings are not why the stock moved.

To judge this, watch whether the company confirms the agreement in an 8-K, and what it says about the shareholder vote, regulatory approvals and termination terms. The gap between the share price and $10 (now $0.13) shows how the market rates the odds of closing.

Bausch Health Companies Inc. (BHC) rose 29% on a Q3 beat and raised guidance

Bausch Health Companies Inc. recent price and volume

The drug and eye-care company closed up 28.76% at $8.91 after third-quarter results beat and guidance rose. It is the parent of, and not the same as, Bausch + Lomb. Bausch Health Companies Inc. filed an 8-K (Item 2.02) on Oct. 28 attaching its earnings release, and a 10-Q on Oct. 29. The 8-K text has no figures. "Beat-and-Raise" and a first-ever core EBITDA milestone come from a TIKR headline, and Quiver Quantitative's headline cites higher guidance and "fresh capital returns," which is not explained further. Jefferies raised its price target, per an Investing.com headline.

The catalyst is substantive: revenue growth is 12.7%, and with the prior day's 9.67% gain the two-day rise is 41.2%. But the company is not profitable, it fails the debt-ratio check, and its market value is only about $3.3 billion.

Three of four overheating signals are on: RSI 90.4, 40.5% above the 20-day average, and volume 14.7 times normal. The stock is 56.4% above its 200-day line and at a 52-week high, and it passes 2 of 5 fundamental checks.

To judge this, check in the 10-Q whether interest costs and total debt keep pace with improving earnings, and which business drove the guidance increase. Also see how the "capital returns" in the headline appear in the filings.
